Bacciardi Partners assisted ONIT S.p.A., a Cesena-based company and leader in the provision of IT solutions (hardware and software) and cutting-edge consulting services for corporate management and organization, in the incorporation of its US subsidiary, ONIT US, Inc.
The establishment of ONIT US represents a significant strategic lever for the growth and international expansion of the ONIT Group.
Through its direct presence in the United States, the ONIT Group aims to increase penetration and expansion in such a key market and to seize business opportunities across the American continent, focusing mainly on the promotion and commercialization of innovative integrated technological solutions for logistics.
Bacciardi Partners supported the ONIT Group by conducting a preliminary feasibility analysis of the project from contractual, corporate, tax, labor, and immigration perspectives, identifying and designing practical, implementable solutions to ensure compliance of the investment with applicable US regulations.
Bacciardi Partners also carried out a comparative analysis of the regulations and foreign investment incentives available in the various U.S. states previously shortlisted by the ONIT Group, thereby enabling the identification of the specific state in which to incorporate ONIT US, based on the project’s concrete strategic and industrial needs.
Furthermore, Bacciardi Partners assisted the ONIT Group in all activities necessary for the incorporation and registration of the US corporate vehicle, including:
- drafting the documents for the incorporation and registration of ONIT US;
- carrying out all activities and formalities required for the completion of the incorporation process;
- preparing additional contractual documentation for the organization and start-up of ONIT US.
