Bacciardi Partners advised RIVACOLD S.r.l., a leading international group in the commercial and industrial refrigeration sector, on the acquisition of an equity interest in Basic Connection System S.L. (“BC Systems”), a company incorporated under Spanish law.
BC Systems is a long-established and well-positioned player in the Iberian market. The company has been active for many years in the distribution of refrigeration, heating, and air-conditioning equipment and represents the main and historic distributor of RIVACOLD products in Spain.
The transaction forms part of a broader industrial strategy aimed at strengthening the structural presence of the VAG Group—and, in particular, of RIVACOLD and VITRIFRIGO—in the Spanish market. The direct equity investment in a key commercial partner reinforces a long-standing business relationship and establishes a stable platform for the development and expansion of local operations. The transaction reflects an entrepreneurial approach focused on international growth through selected partnerships, industrial integration, and direct control of strategic markets.
Throughout the transaction, Bacciardi Partners supported RIVACOLD with a team composed of Lorenzo Bacciardi and Pier Federico Orciari, respectively CEO and Head of Corporate Law, together with Giulia Belardinelli. The team assisted in the negotiation and drafting of the contractual documentation and in the coordination of the Italian legal formalities required for the implementation of the investment in Spain.
